The evolution of corporate law in the context of the introduction of breakthrough technologies and innovation risk management

Abstract

In modern conditions of rapid development of breakthrough technologies, corporate law faces the need for transformation in order to adequately regulate the rapidly changing business environment and manage innovation risks. The purpose of the study is to analyze the evolution of corporate law against the background of the introduction of new technological solutions and the development of appropriate mechanisms for monitoring innovation processes. To achieve these goals, the method of comparative legal analysis, historical and legal reconstruction and synthesis of theoretical concepts in the field of innovation risk management were applied. Empirical data was collected through the analysis of legislative initiatives, judicial practice, and publications of leading legal studies at both the national and international levels. This approach has made it possible to identify key trends in corporate law reform in the context of digitalization and economic globalization. The study demonstrated that the dynamics of the introduction of breakthrough technologies dramatically affects the institutions of corporate law, contributing to the emergence of new forms of regulation aimed at increasing transparency and responsibility of corporate structures. During the analysis, it was revealed that modern regulatory models actively integrate elements of risk management and adaptive legislation, which allows creating favorable conditions for innovation in the commercial sector. In addition, the results indicate the need to balance the interests of investors, management and the state in the context of the growing risks associated with technological change. Based on the analysis, a new approach to improving corporate law is proposed, providing for the introduction of flexible legal mechanisms capable of responding promptly to the challenges of digital transformation. The results of the study emphasize the importance of interdisciplinary interaction between lawyers, technologists and economists in developing effective strategies for regulating innovation activities. The revealed patterns can become the basis for further research in the field of adaptive legislation and the development of regulations that contribute to the sustainable development of corporate governance in the context of rapidly changing technological processes.
